Terms of Service

Effective Date: April 4, 2026

Welcome to Backdoor ("Platform," "we," "us," or "our"). By accessing or using Backdoor, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Overview of the Platform

Backdoor is a peer-to-peer ticket resale marketplace exclusively for verified students at participating universities. The Platform facilitates connections between ticket buyers and sellers but does not itself sell, buy, resell, or guarantee any tickets or other items.

2. Eligibility

  • You must be at least 18 years old or the age of majority in your jurisdiction.
  • You must possess a valid .edu email address from a participating institution.
  • You must provide accurate and complete registration information.
  • One account per person. Sharing, transferring, or selling accounts is prohibited.

3. Platform Role — Not a Party to Transactions

Backdoor is a venue that connects buyers and sellers. We are not a party to any transaction between users. We do not own, possess, control, or inspect any tickets listed on the Platform. We make no representations or warranties regarding the validity, authenticity, legality, or quality of any ticket or listing.

All transactions are conducted directly between users. You acknowledge that Backdoor has no obligation to mediate, arbitrate, or resolve disputes between users.

4. User Conduct

You agree not to:

  • List counterfeit, stolen, invalid, or fraudulent tickets.
  • Misrepresent the nature, terms, or details of any ticket or event.
  • Engage in price gouging, scalping in violation of applicable law, or deceptive pricing.
  • Harass, threaten, or abuse other users.
  • Use the Platform for any unlawful purpose.
  • Attempt to circumvent identity verification or create multiple accounts.
  • Scrape, crawl, or use automated means to access the Platform.
  • Interfere with or disrupt the Platform's operation or security.
  • Impersonate any person or entity.

5. Identity Verification

We require .edu email verification and may offer additional verification methods (Instagram linking, photo verification). Verification indicates a user has completed certain identity checks but does not constitute a guarantee of trustworthiness, solvency, or the validity of any listing.

6. Payments and Fees

Payments between users are conducted through third-party services (e.g., Venmo, Zelle) outside of the Platform. Backdoor does not process payments, hold funds, or act as an escrow. We are not responsible for payment disputes, chargebacks, or fraud conducted through third-party payment services.

7. Scam and Fraud Disclaimer

WARNING: Peer-to-peer transactions carry inherent risk. Despite our verification measures, we cannot guarantee that all users or listings are legitimate. You are solely responsible for verifying the authenticity of tickets and the identity of other users before completing any transaction. Backdoor is not liable for losses resulting from scams, fraud, invalid tickets, or failed transactions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKDOOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, ANY TRANSACTION BETWEEN USERS, OR ANY CONDUCT OF OTHER USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO BACKDOOR (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Section 230 Notice

Backdoor is a provider of an interactive computer service as defined under Section 230 of the Communications Decency Act (47 U.S.C. § 230). User-generated content, including listings, messages, and reviews, is created by users and not by Backdoor. We are not the publisher or speaker of user-generated content and shall not be treated as such.

10. Intellectual Property

The Platform, including its design, code, logos, and branding, is owned by Backdoor. You may not copy, modify, distribute, or create derivative works without our written consent. By posting content on the Platform, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with operating the Platform.

11. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without cause, including for violations of these Terms. Banned users will be signed out and prevented from accessing the Platform. We are not obligated to provide notice or explanation for account actions.

12. Indemnification

You agree to indemnify, defend, and hold harmless Backdoor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any transaction you enter into with another user.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall be conducted in Wilmington, Delaware, or at a location mutually agreed upon.

13.1 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Backdoor.

13.2 Exceptions

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Continued use after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Backdoor regarding your use of the Platform.
